The User

The User may either be an Individual or Consumer as defined herein below, and includes any person browsing and/or viewing the Sites, as well as making a purchase.

'Individual'

Tax

The product Fees do not include tax, duties or similar assessments of any nature that may be imposed on by the U.S (“Tax regulations”). User and Merchant is responsible for paying all Taxes. Boonclip will use commercially reasonable efforts to list Taxes as a separate line no on each invoice during purchase.

Commission or Compensation

If you use the BoonClip website you agree and acknowledge that we will charge a commission per sale of an item not return in 30 days on the website.

Merchant or Supplier'

The Services are available to merchants, companies and/or business entities, who register to list items, and products for sale on the website. Any person using the Services on behalf of such corporate entities represents that he or she has the authority to bind the supplier to the terms and conditions set out in this Agreement.

Eligibility for Access

By accessing and using the Site, you acknowledge and agree that you are representing to us that you are over the age of 18 and you are of legal age to form a legally binding contract, and you are not a person barred from purchasing or receiving monthly theme recipes and decoration how-Terms and conditions of services, under the U.S laws or other applicable jurisdiction. Boonclip grants the User and merchant a limited, non- transferable, non-sub licensable license to access and use the Platform to

Create a merchant account to list and sell goods and items and
Create a user account to search and purchase products of interests, and
Access to Boonclip.com’s trendy products, such as accessories, Fitness clothing and accessories, and allowing user and merchants to create an account during the Term of this Agreement (the “account registeration”).

The Boonclip services includes any changes to the Platform made available to the User and merchant by Boonclip at no additional cost (an “Update”). Updates are applied automatically to the Platform.

Items/ Products available on the website

Specific Items services may be available exclusively online through our website. These Items or services may be limited and are subject to refund or cancellation only according to our Refund Policy. We have made every effort to display as accurately as possible the services and items that appear on the website. We cannot guarantee that your computer monitor’s display will be accurate.

We reserve the right but are not obligated, to limit the sales of our items or Services to any person, geographic region, or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the number of any services that we offer. All descriptions of Items/products pricing are subject to change at any time without notice, at the sole discretion of us. We reserve the right to discontinue any listing or quotation at any time. Any offer for any product or service made on this site is void where prohibited.

Account Registration

In order to access the Site as a consumer or as a merchant, you will be required to create an account, (User Account or Merchant Account) they will be required to provide current, accurate identification, contact, and other information ('User and merchants Information') as part of the account registration process and/or continued usage of the Site offered by BoonClip and its subsidiaries or affiliated companies. "User and merchants Information" referred to hereinabove also includes but is not limited to any information provided by the User and merchants to BoonClip or to other Users of the site. Furthermore, the User and merchant’s Information, account details and ID provided during time of registration may not be transferred or sold to another party.

The User and merchants is responsible for maintaining the confidentiality of their account and password and for restricting access to their devices, which includes but is not limited to computers, mobile devices and/or any other device a substantial purpose of which is facilitating telephonic communication, but which also incorporates functionality that allows viewing of the Sites and its contents. The User and merchants agrees to accept responsibility for all activities that occur under the User and merchants’ account or password.

BoonClip.com has the right to refuse service, terminate accounts, remove or edit contents, and/or cancel orders in BoonClip’s sole discretion.

Modification

BoonClip supplies the right at its sole knowledge to modify these terms at any time. If we do modify these terms we will post the modification on the site or provide you with notice. The Modification shall be in writing and mutually agreed upon by both parties. We will also update the “last update date”. By continuing to use our services after we have provided you with notice of a modification, you are displaying that you agree to be associated by the terms. If the modified terms are not acceptable any objections must be made clear as soon as possible.

Purchase terms

To make a purchase for our BoonClip Services and products, you will be required to create an account. By placing an order through this website, you warrant that you are: legally capable of entering into binding contracts, and at least 18 years old and agree that BoonClip will charge you a percentage for commission on every order.

All Purchases are subject to acceptance by us, and we will confirm such acceptance to you by sending you a confirmation email to confirm your Purchase. The contracts between us and you will only be formed when we send you the Order Confirmation Email. Upon completion of your purchase, your order will be confirmed and process for shipping and delivery. You agree to provide accurate, current and complete information during these process and to keep the information up-to-date.

Risk of loss

All items purchased on the Sites are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier.

Pricing and Availability

Whilst we try and ensure that all details, descriptions and prices which appear on this Website are accurate, errors may occur from time to time. If we discover an error in the price of any goods which you have ordered we will inform you of this as soon as possible and give you the option of reconfirming your order at the correct price or cancelling it. If we are unable to contact you we will treat the order as cancelled.

Order Confirmation

We reserve the right to refuse or cancel an order for any reason including limitations on quantities available for purchase, errors in product or pricing information, inaccurate billing information, or possible credit card fraud. We will contact you if your order is canceled or if more information is needed to process the order. If an order is canceled after your credit card has been charged, you will be issued a credit in the amount of the charge. Items purchased on the Site are available for delivery to U.S. addresses.

Shipping Your Order

Merchants are responsible for shipping their sold items to consumers. Merchants will have their own shipping policies, however shipment of purchase items must be shipped to the customer within the store owner policy timeline, and if a merchant did not ship the item at the set down timeline, then the buyer can submit a shipment Dispute to BoonClip, and we will review your request and investigate and resolve your dispute.

If you're (merchant) using a shipping or fulfillment service, please keep in mind that you are ultimately responsible for making sure that your buyers receive their orders on time.

Product Description

BoonClip tries to be as accurate as possible. However, BoonClip does not warrant that product description or other content of this site is accurate, complete, reliable, current, or error-free. If a product offered by BoonClip itself is not as described, your sole remedy is to return it in unused condition.

Limited License

Subject to these Terms, we grant you a limited, non-exclusive, nontransferable personal license to access and use the Site and Services.

The User and merchants agrees that BoonClip shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Sites.

User or Merchant Content Policy

We do not claim ownership of User-generated content and material provided to us in connection with the Services (collectively “User Content”). By submitting User Content, you represent and warrant that

you own or control any and all rights in and to the User Content, and the right to grant all of the rights and licenses in these Terms, and if you are not the holder of such rights, the holder of such rights has completely and effectively waived all such rights and irrevocably granted you the right to grant the licenses stated above without the need for payment to you or any other person or entity;

All the products sold on BoonClip are governed by different state laws and if BoonClip is unable to deliver such products due to implications of different state laws, BoonClip will return or will give credit for the amount received by BoonClip from the sale of such product, which could not be delivered to you. In no event will BoonClip be liable for any special, incidental, indirect or consequential damages or losses of any kind, arising from the use of Credits or association with the Credits.

Limitation of Liability

You acknowledge and agree that, to the maximum extent permitted by law, the entire risk arising out of your access to and use of the Site, Services, BoonClip Content and supplier Content remains with you. Neither BoonClip nor any other party involved in creating, producing, or delivering the Site, Services, BoonClip Content or supplier Content will be liable for any incidental, special, exemplary or consequential damages, including lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services, or for any damages for personal or bodily injury or emotional distress arising out of or in connection with these Terms.

(2) Agree that all terms and conditions, agreements, notices, disclosures, and other communications that BoonClip provides to you electronically via e-mail satisfy any legal requirement that such communications would satisfy if they were in writing. This subparagraph does not affect your statutory rights.

Children's Privacy Policy

BoonClip respects the privacy of children, and we are committed to complying with the Children's Online Privacy Protection Act (COPPA). This Children's Privacy Policy describes our practices concerning the collection of personal information from children under the age of 13. This site does not knowingly collect, use, or disclose personal information from children under the age of 13 without prior parental consent, or do we provide BoonClip services to children under 13 years of age except as permitted by COPPA. However, we may provide our service to children under 13 years of age but in the supervision of a parental guardian.

The following submissions are prohibited on the Site:

Termination

This agreement shall expire in the event of insolvency of the other party and/ or by terminating this contract with 30 days’ written notice to the other party.

You Agree and Confirm

That in the event that a non-delivery occurs on account of a mistake by you (i.e. wrong name or address or any other wrong information) any extra cost incurred by BoonClip for redelivery shall be claimed from you.

That you will use the services provided by BoonClip, its affiliates, consultants and contracted companies, for lawful purposes only and comply with all applicable laws and regulations while using the Website and transacting on the Site.
You will provide authentic and true information in all instances where such information is requested of you. BoonClip has the right to confirm and validate the information and other details provided by you at any point of time. If upon confirmation your details are found not to be true (wholly or partly), BoonClip has the right in its sole discretion to reject the registration and debar you from using the Services of BoonClip and / or other affiliated websites without prior intimation whatsoever.
That you are accessing the services available on this Website and transacting at your sole risk and are using your best and prudent judgment before entering into any transaction through this Website
That the address at which delivery of the product ordered by you is to be made will be correct and proper in all respects.
That before placing an order you will check the product description carefully. BoonClip and its logistics partners have the right to open and inspect a Shipment without prior notice.
BoonClip will make every reasonable effort to deliver the Shipment according to BoonClip regular delivery schedules, but these are not guaranteed and do not form part of the contract.
BoonClip is not liable for any loss or damage arising out of circumstances beyond BoonClip control. You may not assign any rights or obligations against BoonClip without BoonClip's prior written consent. BoonClip has the right to transfer any right or obligation against you upon notice to you. Upon such assignment, the assignee shall be bound by the Terms in the same manner as BoonClip and Venttraffic Media Inc. shall cease to have any liability to you.
BoonClip shall not be responsible for any delay or deficiency due to any force majeure events such natural disasters, acts of terrorism, civil labor strife, labor and transportation strikes.

Notices

Any notices or other communications permitted hereunder, including those regarding modifications to these Terms, will be in writing and given: (i) by BoonClip via email (in each case to the address that you provide) or (ii) by posting to the Site. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted. Severability
